Terms and conditions
Updated:
Draft text, legal review in progress.
1. Purpose
These terms govern access to the KYC ATLAS software, published by KYC ATLAS, by professional client organisations and their users. The commercial offer accepted by the client (plan, number of users, price, term) supplements these terms and prevails in case of conflict.
2. Access to the service
Access is granted on request, after validation by the publisher. The client organisation designates its users and gives each a role (owner, administrator, agent, viewer). Each user keeps their credentials confidential; any action taken with them is attributed to that user in the audit trail.
3. Role of the software and the client’s responsibilities
KYC ATLAS is a tool supporting anti-money laundering due diligence. The client alone remains responsible for meeting its legal obligations, assessing risk, the decisions taken on each file and any suspicious transaction reports. Suggestions produced by the software, including by artificial intelligence, support the analysis: they must be checked and do not replace professional judgement.
4. Client data
The client remains the owner of the data it enters or collects through the service. The publisher processes it as a processor, under the data processing agreement with the client and the privacy policy. When the contract ends, the client can export its data for an agreed period, after which it is deleted, unless the law requires it to be kept.
5. Availability and changes
The publisher uses reasonable means to keep the service available and secure, and may interrupt it for maintenance. The software changes regularly; a change cannot remove an essential function of the offer without informing the client beforehand.
6. Price and payment
The price, its frequency and the payment terms are set in the commercial offer accepted by the client.
7. Term and termination
The term and renewal conditions are set in the offer. Either party may terminate in case of a serious breach by the other that is not remedied within a reasonable time after formal notice.
8. Intellectual property
The software, its brand and its documentation remain the property of the publisher. The client has a personal, non-transferable right of use for the duration of the contract.
9. Liability
The publisher’s liability is limited to direct and proven damage, within the limits set by the commercial offer. The publisher is not liable for the compliance decisions taken by the client.
10. Governing law
These terms are governed by Luxembourg law. Any dispute relating to their formation, performance or interpretation falls within the jurisdiction of the courts of the Grand Duchy of Luxembourg.
